1. INTRODUCTION

1.1. These terms and conditions between AGILE ONLINE LEARNING (PTY) LTD trading as PsyCampus (“we”, “us”, “our”, “Company”) and all users of the Services (“you”, “your”, “User”) govern the provision of our educational services and professional development solutions (“Services”) and by accepting these terms and conditions when registering as a User, you agree to be bound by them.

1.2. These terms and conditions constitute a legally binding agreement between you and AGILE ONLINE LEARNING (PTY) LTD.

1.3. Our platform provides educational services and professional development solutions specifically designed for psychology professionals and related healthcare practitioners through various delivery methods including live sessions, online courses, and digital learning platforms.

1.1. MODIFICATION OF TERMS

1.1.1. We may modify these terms and conditions periodically to reflect changes in our services, legal requirements, or business practices. Material changes will be communicated via email to all registered users and prominently posted on our website with clear notice of the changes. Non-material changes (such as clarifications, formatting, or contact detail updates) may be made without advance notice.

1.1.2. Material modifications become effective 14 days after email notification to registered users. You may terminate your account without penalty if you do not agree to material changes by providing written notice to admin@psycampus.co.za before the effective date. Continued use of Services after the effective date constitutes acceptance of the modified terms. It is your responsibility to review these terms and conditions regularly and respond to modification notices to ensure that you are fully aware of the terms to which you are bound.

1.1.3. Should any of these terms and conditions be breached by you, we reserve the right to suspend, alter, or terminate your access to our Services at our sole discretion.

1.2. DEFINITIONS AND INTERPRETATIONS

1.2.1. “Agreement” means these Terms & Conditions as amended from time to time;

1.2.2. “Company” means Agile Online Learning (Pty) Ltd trading as PsyCampus;

1.2.3. “Consumer” has the meaning assigned to it in the Consumer Protection Act 68 of 2008;

1.2.4. “Content” means all educational materials, webinar content, study guides, and intellectual property provided through the Services;

1.2.5. “Educational Session” means live interactive educational sessions delivered via various platforms for professional development and learning purposes;

1.2.6. “HPCSA” means the Health Professions Council of South Africa;

1.2.7. “Personal Information” has the meaning assigned to it in POPIA;

1.2.8. “Platform” means the Company’s online booking and communication system and Google Meet integration;

1.2.9. “POPIA” means the Protection of Personal Information Act 4 of 2013;

1.2.10. “Professional Contributor” means qualified psychology professionals engaged by the Company to deliver board examination preparation services;

1.2.11. “Services” means the educational courses, professional development programs, and related educational services provided by the Company;

1.2.12. “User” means any person who accesses or uses the Platform or Services.

2. IMPORTANT CONSUMER RIGHTS NOTICE

2.1. If you are a consumer (natural person buying for personal use), you have important rights under South African law:

2.1.1. Right to a 7-day cooling-off period for electronic transactions (ECTA);
2.1.2. Right to a 5-day cooling-off period for direct marketing transactions (CPA);
2.1.3. Right to cancel fixed-term contracts with 20 business days’ notice;
2.1.4. Right to plain language in all agreements;
2.1.5. Right to fair terms and conditions; 2.1.6. Right to quality goods and services.

2.2. These rights are in addition to service-specific cancellation policies detailed below.

3. SERVICES

3.1. The Company provides educational services and professional development solutions designed for psychology professionals and related healthcare practitioners

Our Services include:
3.2.1. Educational courses and professional development programs;
3.2.2. Learning materials, study guides, and educational resources;
3.2.3. Interactive learning sessions delivered via various digital platforms;
3.2.4. Assessment tools and progress tracking;
3.2.5. Support services via designated communication channels.

3.3. Services are delivered according to scheduled programs and course offerings as determined by educational requirements and professional contributor availability.

3.4. The Company reserves the right to modify, suspend, or discontinue any Service with reasonable notice to enrolled Users.

3.5. We strive to keep our content accurate and up to date. Users can report any inaccuracies to admin@psycampus.co.za. We will review reported content and make necessary corrections in a timely manner.

3.6. Technical requirements for Platform access are specified on the Company’s website and form part of these Terms.

3.7. Affiliate Marketing program

3.7.1. The Company operates an affiliate marketing program where certain users and Professional Contributors may earn commissions for referring new customers to our Services.

3.7.2. Affiliate tracking uses cookies (30-day duration), unique referral links, and coupon codes to attribute purchases to referring partners, as detailed in our Cookie Policy and Affiliate Program Terms & Conditions.

3.7.3. Users referred through affiliate links receive identical Services, pricing, and treatment as other users. Affiliate relationships do not affect service quality, content, or professional standards.

3.7.4. Affiliate attribution data is processed in accordance with our Privacy Policy Section 8.4 and may include tracking which affiliate partner referred you, purchase timing and value, and commission calculation data.

3A CONTENT DEVELOPMENT STANDARDS

3A.1. Professional Standards: All content is developed by qualified Professional Contributors in accordance with HPCSA standards and professional ethics codes.

3A.2. Artificial Intelligence in Content Development: Professional Contributors may use artificial intelligence (AI) tools to assist in creating course materials, study guides, and assessments. When AI tools are used:
3A.2.1. All AI-generated content must be professionally validated and reviewed by a qualified HPCSA-registered Professional Contributor before being provided to students;
3A.2.2. AI-assisted content must meet the same quality, accuracy, and professional standards as traditionally created materials;
3A.2.3. Professional Contributors remain fully responsible for all content provided to students, regardless of whether AI tools were used in development;
3A.2.4. AI usage must comply with HPCSA guidelines and professional ethics codes as they apply to educational content creation.
3A.3. Quality Assurance: All content undergoes professional review to ensure accuracy, relevance, and compliance with HPCSA examination requirements, regardless of whether AI tools were used in development.
3A.4. Student Data Protection: Your personal information, assessment responses, and learning data are never used to train AI models. AI tools used by Professional Contributors for content creation do not have access to student data or personal information.

4. USER REGISTRATION AND OBLIGATIONS

4.1. By registering for our Services, you grant permission to us to collect, use, and store your data in accordance with these terms and conditions for the duration of your engagement with our Services.

4.2. Users must provide accurate, complete, and current information during registration, including:
4.2.1. Full legal name and contact information;
4.2.2. HPCSA registration details or intended registration category;
4.2.3. Valid email address for service communications;
4.2.4. Payment information when purchasing Services;

4.3. To ensure the security of your account and the protection of your personal information, please adhere to the following guidelines:
4.3.1. Create a strong password that meets security criteria (minimum 8 characters with mixed case, numbers, and special characters);
4.3.2. Keep your login credentials confidential and for personal use only;
4.3.3. Immediately notify us at admin@psycampus.co.za of any unauthorized account access.

4.4. Users warrant that they have the legal capacity to enter into this Agreement.

4.5. Corporate Users warrant that the registering individual has authority to bind the entity.

5. PROHIBITED CONDUCT

5.1 Users are prohibited from:
5.1.1. Violating any applicable law or regulation;
5.1.2. Infringing intellectual property rights;
5.1.3. Recording, distributing, or sharing webinar content without express written consent, except for recordings provided by the Company for personal study use only;
5.1.4. Disrupting webinar sessions or engaging in inappropriate conduct;
5.1.5. Sharing account credentials with third parties;
5.1.6. Using the Services for commercial purposes without written consent;
5.1.7. Attempting to gain unauthorized access to the Platform or other users’ accounts;
5.1.8. Transmitting harmful, defamatory, or offensive content during sessions.

5.2. Breach of this clause may result in immediate termination without refund.

6. TECHNICAL REQUIREMENTS

6.1. To access our webinar services effectively, users must have:
6.1.1. Stable internet connection with minimum recommended speed for multimedia content streaming;
6.1.2. Modern web browser with JavaScript enabled (Chrome, Firefox, Safari, or Edge latest versions);
6.1.3. Device capable of accessing online educational platforms (computer, tablet, or smartphone);
6.1.4. Speakers or headphones for audio content;
6.1.5. Microphone for interactive participation (recommended); and
6.1.6. Webcam for visual participation (optional but encouraged).

6.2. Failure to meet these requirements may result in suboptimal experience or inability to access course features.

6.3. The Company provides technical support for Platform-related issues but is not responsible for user device or internet connectivity problems.

7. ACCESSIBILITY

7.1. We are committed to making our Platform accessible to all users, including those with disabilities.

7.2. While we are working toward implementing accessibility standards such as Web Content Accessibility Guidelines (WCAG), our Platform may not yet fully comply with these standards.

8. PAYMENT TERMS

8.1 All fees are quoted in South African Rand (ZAR) and are inclusive of VAT where applicable.

8.2 Payment is due immediately upon enrolment unless alternative arrangements are made in writing.

8.3 The Company uses PayFast (www.payfast.co.za) as our secure payment processor for all online transactions. PayFast is PCI DSS compliant and maintains its own privacy policy governing payment data processing, available at www.payfast.co.za/privacy-policy/. The Company does not store, process, or have access to your payment card information. All payment card data is collected and stored solely by PayFast in accordance with payment card industry security standards. We also offer invoice payments via EFT transfers or direct deposits to our company bank account.

8.4 The Company reserves the right to adjust pricing with reasonable notice.

8.5 We use PayFast as our secure payment processor. We also offer invoice payments via EFT transfers or direct deposits.

8.6 Discount codes are generated automatically based on the HPCSA registration date submitted by the applicant. PsyCampus does not independently verify registration details at the time of issue. PsyCampus reserves the right to audit submissions and revoke any coupon code found to have been issued on the basis of inaccurate or fraudulent information, without refund of any amounts paid.

8.7 Customers may elect to pay 50% of the purchase price at checkout, with the remaining 50% due within 30 days. Failure to pay the balance within 30 days may result in suspension of course access until payment is received. No interest is charged on outstanding balances within the 30-day window.

8.8 Discount codes are single-use, non-transferable, and tied to the email address used during application. Codes expire on 10 December 2026. Expired or transferred codes will not be honoured.

9. CANCELLATION AND REFUNDS

9.1. Educational Service Cancellations:
9.1.1. Full refunds are available for cancellations made before the commencement of the first scheduled educational session;
9.1.2. No refunds are available for cancellations made on the day of the first scheduled session;
9.1.3. Users unable to attend may request to postpone enrollment to the next available session at no additional cost, subject to availability;
9.1.4. Postponement requests may be made at any time, including on the day of the scheduled session, regardless of refund eligibility.

9.2. Company-Initiated Cancellations:
9.2.1. If the Company cancels educational services due to insufficient enrolment or other operational reasons, Users receive a full refund or may transfer to alternative sessions;
9.2.2. Users will be notified of cancellations at least 7 days before the scheduled start date where possible.

9.3. All refund requests must be submitted in writing to admin@psycampus.co.za.

9.4. Processing of approved refunds takes 5-10 business days.

9.5. Technical Issues:
9.5.1. If technical problems prevent a User from accessing an educational session, the Company will provide session recordings or alternative access at no additional cost;
9.5.2. No refunds are provided for technical issues on the User’s end (internet connectivity, device problems, etc.).

9.6. Multiple Session Programs:
9.6.1. For multi-session educational programs, the cancellation policy applies based on the first session date;
9.6.2. Partial attendance does not qualify for partial refunds;
9.6.3. Postponement options remain available throughout the program duration.

10. CONSUMER COOLING-OFF PERIOD

10.1. All consumers have the right to cancel any electronic transaction within 7 days of conclusion of agreement. No reason or penalty required. Refund processed within 5 business days.

10.2. For direct marketing transactions, consumers may cancel within 5 business days without reason or penalty.

10.3. Send written notice to admin@psycampus.co.za stating your intention to cancel.

10.4. Cooling-off period does not apply if educational services have already commenced.

10.5. Express Waiver: By accessing any course materials, study guides, or educational content, you expressly waive your cooling-off period rights after being fully informed of this consequence.

10.6. Waiver Conditions: This waiver is valid because:
10.6.1. You are expressly informed of the cooling-off period waiver before accessing materials;
10.6.2. You provide explicit consent to immediate performance of services;
10.6.3. Services commence immediately upon your request and with your consent.

11. PERSONAL INFORMATION AND PRIVACY

11.1. You shall own all rights, title, and interest in your personal data and shall have sole responsibility for the legality, reliability, integrity, accuracy, and quality of your data.

11.2. By using the Platform, Users consent to the collection, processing, and storage of Personal Information as detailed in our Privacy Policy.

11.3. We retain your personal data for as long as necessary to provide Services, comply with legal obligations, resolve disputes, and enforce agreements. Specific retention periods are detailed in our Privacy Policy Section 12, including: customer and service records retained for 7 years after account closure or last service; educational records retained for 7 years after service completion; website access logs retained for 12 months; dispute-related communications retained for 3-5 years; and cookie consent records retained until withdrawal plus 2 years for audit purposes.

11.4. You may request deletion of your personal data by contacting admin@psycampus.co.za. We will process requests in accordance with applicable data protection laws.

11.5. Personal Information may be shared with third-party service providers necessary for Platform operation, subject to appropriate data processing agreements.

11.6. The Company implements appropriate technical and organizational measures to secure Personal Information.

12. INTELLECTUAL PROPERTY

12.1. All intellectual property rights in our Services, including webinar content, study materials, and platform technology, are and shall remain the sole property of AGILE ONLINE LEARNING (PTY) LTD.

12.2. Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal, non-commercial educational purposes only.

12.3. This license includes the right to:
12.3.1. Access and view educational sessions during scheduled times;
12.3.2. Download and use study materials for personal examination preparation;
12.3.3. Participate in interactive session components; and

12.3.4. Access session recordings for sessions you have attended (if available).

12.4. Users may not:
12.4.1. Record, reproduce, distribute, or share educational content without express written consent;
12.4.2. Modify, adapt, or create derivative works from our Content;
12.4.3. Use Content for commercial purposes or resale;
12.4.4. Remove or obscure copyright notices or proprietary markings;
12.4.5. Share login credentials or allow unauthorized access to Content.

12.5. Professional Contributors retain ownership of their specialized methodologies and approaches, while granting the Company necessary licenses for service delivery through our Platform.

12.6. Any materials created collaboratively between the Company and Professional Contributors are governed by separate professional contributor agreements.

12.7. Violation of intellectual property rights may result in immediate termination and legal action.

12.8. Upon termination, all rights to access and use Content immediately cease, and Users must delete any downloaded materials.

13. WARRANTIES AND DISCLAIMERS

13.1. To the fullest extent permitted by law, we will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages resulting from your access to or use of our Services.

13.2. While we strive to provide high-quality educational content, we do not guarantee specific examination outcomes or career advancement upon completion of our Services.

13.3. Services are provided “as is” without warranties, express or implied. We do not warrant that Services will meet your requirements or be error-free.

13.4. Users acknowledge that internet-based services may experience interruptions and the Company shall not be liable for temporary unavailability.

13.5. Professional outcomes, certifications, and career advancement depend on multiple factors beyond our educational services. We are not responsible for specific professional outcomes.

14. INDEMNIFICATION

14.1. You agree to indemnify, defend, and hold harmless AGILE ONLINE LEARNING (PTY) LTD, its Professional Contributors, affiliates, officers, directors, employees, and agents from claims, losses, expenses, damages, and costs resulting from:
14.1.1. Violation of these terms and conditions;
14.1.2. Unlawful or improper use of our Services;
14.1.3. Negligent or wrongful conduct during service participation;
14.1.4. Breach of intellectual property or confidentiality obligations.

15. DISPUTE RESOLUTION

15.1. Good Faith Commitment: Both parties commit to resolving any disputes in good faith through open communication, mutual respect, and collaborative problem-solving before pursuing formal procedures.

15.2. Direct Negotiation: In the event of any dispute, parties shall first attempt to resolve the matter amicably through direct negotiation for a minimum of 30 days, with both parties engaging constructively and transparently.

15.3. Mediation: If good faith negotiation fails, disputes shall be submitted to mediation with a qualified mediator in Cape Town, South Africa, with both parties sharing mediation costs equally.

15.4. Small Claims Court: For disputes involving amounts under R20,000, parties may elect to use the Magistrate’s Court small claims procedure as an alternative to mediation and arbitration.

15.5. Arbitration: If mediation fails within 60 days, disputes exceeding small claims thresholds shall be finally settled by arbitration in Cape Town, South Africa, conducted in English by a single arbitrator agreed upon by both parties.

15.6. Binding Decision: The arbitrator’s decision shall be final and binding on both parties.

15.7. Consumer Protection: Consumers may alternatively use Consumer Courts and dispute resolution mechanisms provided by the Consumer Protection Act.

15.8. Costs: Each party bears their own costs unless the arbitrator determines otherwise based on the outcome and conduct of the parties.

15.9. Urgent Relief: Nothing in this clause prevents either party from seeking urgent interim relief from a court of competent jurisdiction where circumstances require immediate action.

16. Termination 

161. We reserve the right to terminate your access to Services or deactivate your account at any time for breach of these terms, non-payment, or illegal use of Services.

16.2. You may terminate your account by contacting admin@psycampus.co.za. Upon termination, you lose access to all Services and Content.

16.3. Upon termination, all rights and licenses granted cease, and outstanding payments become due.

17. GENERAL PROVISIONS

17.1 Governing Law: This Agreement is governed by South African law.

17.2 Jurisdiction: The South African courts have exclusive jurisdiction over any disputes.

17.3 Severability: Invalid provisions do not affect the validity of remaining Terms.

17.4 Entire Agreement: These Terms constitute the entire agreement between the parties.

17.5 Assignment: The Company may assign its rights; Users may not assign without consent.

17.6 Force Majeure: Neither party is liable for delays or failures due to circumstances beyond reasonable control.

17.7 Consumer Rights: Nothing in these Terms affects statutory consumer rights under South African law.

17.8 Electronic Communications: Users consent to receiving communications electronically.

17.9 Waiver: Failure to enforce any provision does not constitute a waiver.
